Marysville, Washington-based space hardware developer Gravitics is preparing to go public on the Nasdaq stock exchange through a reverse takeover that could raise up to $125 million, according to reporting by GeekWire (https://www.geekwire.com/2026/gravitics-reverse-takeover-125-million/).

The transaction involves merging with Non-Invasive Monitoring Systems, a Florida-based shell company that ceased manufacturing motorized therapeutic platforms in 2019 but maintained an over-the-counter stock listing. Under the plan, the combined entity will uplist its shares from OTC trading to Nasdaq.

Following the merger, Gravitics plans to offer 8.1 million shares priced between $14 and $17, an offering that averages approximately $125 million. A recent Securities and Exchange Commission filing also disclosed a previously unreported $17 million funding round closed earlier this year as part of the transaction preparations. Both parties are currently in an SEC-mandated quiet period.

Gravitics was founded in 2021 by Chief Executive Officer Colin Doughan, Chief Architect Gary Hudson, and Chief Marketing Officer Michael DeRosa to develop orbital carriers and pressurized space station modules.

While the company has not yet placed hardware in orbit, it has assembled a pipeline of commercial and government defense contracts. In 2024, Axiom Space awarded Gravitics a $125 million contract for a pressurized module intended for Axiom's planned commercial space station. NASA also selected the startup for an award of up to $225,000 to study an orbital cargo vehicle hangar.

Gravitics receives additional funding from the U.S. Space Force across multiple projects and was recently selected by Lockheed Martin to support a classified defense initiative, reportedly involving orbital carrier hardware for the Pentagon's Golden Dome missile defense program.
