Grindr has agreed to acquire PurposeMed, the parent company of Canadian telehealth service Freddie, for $250 million in cash and stock, according to a report by The Next Web (https://thenextweb.com/news/grindr-acquires-freddie-purposemed-250m) citing a company statement released Wednesday.

Under the terms of the transaction, Grindr will pay $190 million in cash and $60 million in equity. The deal structure includes up to $70 million in additional cash consideration contingent on Freddie meeting specified performance targets in 2027. Grindr expects the transaction to close by the end of the year, marking its first major acquisition since the dating application launched in 2009.

Founded in Canada in 2020, Freddie provides online consultations, diagnostic testing, and home delivery for pre-exposure prophylaxis (PrEP), a daily medication that prevents HIV transmission. The service has treated more than 55,000 patients and expanded into all 50 U.S. states in 2024, according to reporting by The Globe and Mail cited in the announcement.

Grindr, which reports nearly 16 million monthly users, intends to integrate Freddie directly into its core app. The acquisition expands on Woodwork, an erectile dysfunction service Grindr introduced in 2025, with both services slated to merge under a single Grindr Health umbrella.

"Grindr has a direct line to millions of gay men, and Freddie brings the medical expertise to turn that reach into care," Grindr chief executive George Arison said. Dr. Husein Moloo, co-founder and chief executive of Freddie, said embedding care "inside the app they already use every day" could "speed up the work of ending the HIV epidemic."

Freddie projects full-year revenue exceeding $80 million and adjusted earnings above $10 million for 2026. Grindr noted that upfront integration and development expenses will compress operating margins in the near term.

The move into clinical telehealth follows past scrutiny over Grindr's data governance. In 2024, users in the United Kingdom filed a lawsuit accusing the company of sharing their HIV status with advertisers. Grindr has denied ever selling health data.
