Delivery Hero’s leadership has formally endorsed a $15 billion acquisition proposal from Uber, urging shareholders to support a transaction that would create one of the world's largest on-demand food delivery platforms.

According to details first reported by TechCrunch, Delivery Hero’s management and supervisory boards concluded after a review that the transaction serves the best interests of the business, its equity holders, staff, and related stakeholders. The governing boards characterized Uber's financial terms as fair and adequate, adding that the merger has the potential to speed up product innovation.

If the buyout receives final shareholder approval, the deal will effectively double the international footprint of Uber's delivery division. The expanded network would position Uber Eats as one of the dominant delivery operations worldwide outside of China, strengthening its competitive standing against rivals DoorDash and Just Eat Takeaway.

To proceed with the acquisition, Uber—which already maintains a position as Delivery Hero's largest shareholder—established a minimum acceptance condition of 50 percent plus one share of Delivery Hero's total outstanding equity.

The transaction has already secured support from another major institutional investor. Prosus has agreed to tender its 17 percent holding in Delivery Hero as part of the takeover process.

To resolve potential regulatory conflicts in overlapping operational regions, Delivery Hero previously arranged a separate deal to sell its assets across 14 markets where Uber Eats currently operates. New York-based investment entity SSW Partners agreed to acquire those regional units for $1.6 billion.

The proposed takeover represents the latest major deal in an ongoing wave of international delivery sector consolidation. Over the past 18 months, Uber completed a $335 million transaction to buy Turkey-based Getir, Grab agreed to acquire Delivery Hero's Foodpanda operations in Taiwan for $600 million in cash, and DoorDash announced a $3.87 billion takeover of UK-based Deliveroo.
